Para enmendar las Secciones 5-102, 12-115, 12-116 y 12-132, renumerar el Artículo XIII como XIV y crear un nuevo Artículo XIII, de la Ley Núm. 252 de 1995; Ley de Derecho de Multipropiedad y Clubes Vacacionales de Puerto Rico

LEY NUM. 106 DE 29 DE JULIO DE 2010

 

Para enmendar las Secciones 5-102, 12-115, 12-116 y 12-132, renumerar el Artículo XIII como XIV y crear un nuevo Artículo XIII, todo esto, tanto en el texto de español, como en el de inglés de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, mejor conocida como la “Ley de Derecho de Multipropiedad y Clubes Vacacionales de Puerto Rico”; a los fines de establecer un procedimiento extrajudicial económico y expedito que facilite la ejecución de los créditos e hipotecas que graven el derecho real de multipropiedad o club vacacional.

EXPOSICION DE MOTIVOS

Ante la política pública de incentivar el crecimiento turístico para Puerto Rico, esta Asamblea Legislativa ha promulgado leyes cuyo propósito es fomentar el desarrollo de la industria turística y la promoción de la inversión privada en proyectos dirigidos al turismo. Para promover la inversión en construcción de complejos turísticos, esta Asamblea Legislativa aprobó la Ley Núm. 78 de 10 de septiembre de 1993, según enmendada, conocida como “Ley de Desarrollo Turístico de Puerto Rico de 1993,” la cual ha servido como instrumento clave para viabilizar la construcción de un número considerable de hoteles y otras facilidades turísticas en Puerto Rico durante los últimos años. 

 

Reconociendo la creciente importancia de los planes de derecho de multipropiedad y clubes vacacionales en la industria turística internacional, la Asamblea Legislativa de Puerto Rico  aprobó la  Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, conocida también  como la Ley de Derecho de Multipropiedad y Clubes Vacacionales de Puerto Rico (“Ley Núm. 252”).  Según se explica en la exposición de motivos, la Ley Núm. 252 tiene el propósito de crear un esquema para la “creación, venta, intercambio, promoción y operación de planes de derecho de multipropiedad y clubes vacacionales”.

 

Cabe señalar que la importancia de estimular este segmento de la industria recae en que los Clubes Vacacionales o de Multipropiedad, mejor conocido como  “timeshares,” tienen una gran capacidad para hacer de Puerto Rico un destino más atractivo al turista de mayores ingresos. Y es precisamente para el turista de ese perfil que Puerto Rico es un destino más competitivo. No es de extrañarse entonces que los dueños de clubes vacacionales generalmente gasten más que los huéspedes de hotel en renglones, tales como: comidas, bebidas, entretenimiento, transportación y compras en establecimientos al detal.

Además, los dueños de clubes vacacionales, a diferencia de los turistas de negocios, viajan con su familia, tienen una estadía promedio más larga y por ser dueños de un derecho de propiedad hacen un compromiso a largo plazo para regresar periódicamente a la isla. En consecuencia, el impacto del turismo de multipropiedad y de clubes vacacionales sobre la generación de empleos indirectos es proporcionalmente mayor que el del turismo hotelero.

 

Otro aspecto a considerarse es que, mientras los turistas de negocios se hospedan principalmente en hoteles del área de San Juan, la oferta de clubes vacacionales de Puerto Rico se ubica primordialmente fuera del área metropolitana. Por tanto, el desarrollo del segmento de clubes vacacionales contribuiría a descentralizar el quehacer turístico fuera del Área Metropolitana.

 

            Por otra parte, si bien es cierto que el esquema establecido mediante estas leyes ha abierto las puertas al desarrollo del concepto de derechos de multipropiedad y clubes vacacionales, el mismo presenta problemas que tienden a menoscabar su viabilidad. Los medios y procedimientos jurídicos actuales para adquirir y vender los derechos reales que se establezcan en virtud de ellos, incluyendo la constitución de gravámenes e hipotecas, y la ejecución de éstas resultan, al amparo de la legislación vigente, excesivamente costosos en tiempo y dinero en comparación con otras jurisdicciones. 

 

Estas circunstancias afectan adversamente la posición competitiva de Puerto Rico en relación con otros destinos turísticos donde la legislación aplicable provee mecanismos y procedimientos más ágiles y económicos que los nuestros para atender transacciones e incidentes propios del concepto. Por tanto, a fin de propiciar la inversión y desarrollo de este concepto turístico, la administración actual estima conveniente hacer las enmiendas necesarias a aquellas leyes que regulan los referidos conceptos para así viabilizar la venta, enajenación y gravamen de los derechos de multipropiedad y clubes vacacionales.

 

El desarrollo de la industria turística ha demostrado ser una aportación importante para la economía local, y es responsable de sobre 70,000 empleos directos e indirectos en Puerto Rico. Particularmente, la industria de clubes vacacionales es uno de los segmentos de la industria turística con mayor potencial de desarrollo y mayor capacidad para convertir a Puerto Rico en un destino turístico, compitiendo con otros destinos tanto a nivel regional  como internacional. Dicha industria tiene gran potencial para generar aún mayores ingresos y empleos para Puerto Rico, además de descentralizar la actividad turística resultando en una distribución más amplia de los beneficios devengados de la misma.

 

            Es por ello, que esta Asamblea Legislativa estima conveniente enmendar la Ley Núm. 252 para establecer un procedimiento extrajudicial ágil y efectivo de ejecución de hipoteca que podrá ser optado por los acreedores hipotecarios y titulares de gravámenes sobre los derechos de multipropiedad, tal y como los procedimientos existentes en la mayoría de los estados de los Estados Unidos de América, que a la misma vez provea garantías procesales requeridas por nuestro ordenamiento.

           

En fin, las enmiendas aquí propuestas a la Ley Núm. 252 intentan reducir el alto costo y la dilación en las transacciones, la congestión que la multiplicidad de titulares y la inscripción de sus respectivos títulos, cargas y gravámenes ocasionan en el Registro de la Propiedad y la congestión adicional que la ejecución de este tipo de gravamen genera en los Tribunales, así como el consecuente costo al erario público y eventualmente a los contribuyentes.

 

DECRETASE POR LA ASAMBLEA LEGISLATIVA DE PUERTO RICO:

 

Artículo 1.-Se enmienda la Sección 5-102 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para añadir un nuevo inciso (16) y enumerar el existente inciso (16) como (17) para que se lea como sigue:

 

“5-102- ……

 

…..

 

(16)  Los procedimientos disponibles para ejecución y venta del derecho sobre alojamiento en casos de incumplimientos, según dispuesto en la Sección 12-132 de esta Ley.

 

(17) Cualquier otra información requerida por la Compañía con el propósito de lograr una divulgación completa y razonable a los compradores potenciales de derechos de multipropiedad, derechos vacacionales o alojamientos.”

 

Artículo 2. Se enmienda la Sección 12-115 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que se lea como sigue:

 

“12-115.-Contenido de las escrituras de traspaso de derechos de multipropiedad o derechos vacacionales.

 

La escritura de traspaso de cada derecho real de multipropiedad o derecho vacacional en un alojamiento individual deberá expresar, además de los particulares descritos en la Sección 12-113 (1)(b) de este Artículo XII relativas al alojamiento que es objeto del derecho de multipropiedad o derecho vacacional, la participación que le corresponde a dicho derecho en las facilidades, así como una identificación completa y precisa del derecho de multipropiedad o derecho vacacional que se está traspasando, según el mismo fue identificado en la escritura de dedicación. Además, dicha escritura de traspaso deberá contener una advertencia, en tipo conspicuo, expresando que el derecho de multipropiedad o derecho vacacional que está siendo traspasado (según sea aplicable) no está sujeto a las disposiciones de la Ley Núm. 104, o la Ley Número 249 del 12 de agosto del 2008, según enmendada ,de suerte que el adquirente del mismo no tendrá el beneficio de muchas de las medidas protectoras que provee el régimen de propiedad horizontal o el régimen de condohotel a los compradores de apartamentos o unidades en condominios o condohoteles.  Si el terreno en que la estructura que contiene el alojamiento que es objeto del derecho de multipropiedad o derecho vacacional que va a ser traspasado fuese poseído a título de arrendamiento inscrito, derecho de superficie o de usufructo, la escritura traspasando el derecho real de multipropiedad o derecho vacacional de que se trate así lo expresará, especificando la fecha en que el arrendamiento, el derecho de superficie o el usufructo expira.”

 

Artículo 3.-Se enmienda la Sección 12-116 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que lea como sigue:

 

“La copia certificada de la escritura de dedicación de la propiedad al régimen de derecho de multipropiedad o club vacacional y la copia certificada de la que origine la primera inscripción de un traspaso de un derecho real sobre alojamiento individual o de un derecho de multipropiedad o derecho vacacional en el mismo, para su inscripción en el Registro de la Propiedad deberán tener agregadas una copia completa y exacta de los planos de la propiedad o de los planos del alojamiento de que se trate, según sea el caso, para que queden archivados en el Registro de la Propiedad.  Dichos planos serán certificados, sin el pago de derechos, por el Administrador de Reglamentos y Permisos, o cualquier agencia que le sustituya en sus funciones,  e indicarán de modo gráfico los particulares de la propiedad o del alojamiento, según sea el caso.

 

Cuando se desee dedicar al régimen de derecho de multipropiedad o club vacacional una propiedad cuyos planos no obren en los archivos de la Administración de Reglamentos y Permisos, o su sucesor en funciones, así se acreditará mediante certificación expedida al efecto por el Administrador.  En tal caso, se agregará a la copia certificada de la escritura de dedicación de la propiedad al régimen de derecho de multipropiedad o club vacacional y a la copia certificada de la escritura que origine la primera inscripción en el Registro de la Propiedad de un traspaso de un derecho real de multipropiedad, derecho vacacional o alojamiento individual, un juego de planos certificados por un ingeniero o arquitecto autorizado para la práctica de su profesión en Puerto Rico, que de modo gráfico indiquen claramente los particulares de la propiedad o del alojamiento, según sea el caso.

 

…”

 

 Artículo 4. Se enmienda la Sección 12-132 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que se lea como sigue:

 

La obligación de cada titular por su participación proporcional en los gastos comunes se declara por la presente un gravamen estatutario y tácito sobre su correspondiente derecho de multipropiedad, derecho vacacional o alojamiento cuyo gravamen estará gobernado por las disposiciones aquí contenidas. Además, el adquirente voluntario de un derecho de multipropiedad, derecho vacacional o alojamiento será solidariamente responsable con el cedente del mismo por las cantidades adeudadas por éste último, de acuerdo con las disposiciones del Artículo XII de esta Ley, hasta el momento del traspaso, sin perjuicio del derecho del adquirente a recobrar de la otra parte, las cantidades pagadas por él como tal deudor solidario.

 

 

El titular delincuente será requerido por correo certificado, con acuse de recibo, enviado a la última dirección que aparezca en los archivos de la entidad administradora para que proceda a realizar el pago de las sumas adeudadas en concepto de su participación no pagada en los gastos comunes. Dicho requerimiento también contendrá una advertencia a los efectos de que, de no realizar el pago de dichas sumas adeudadas dentro del plazo de treinta (30) días, el acreedor podrá proceder al cobro a través del procedimiento extrajudicial que se establece más adelante en el Artículo XIII de esta Ley.

 

Transcurrido el término de treinta (30) días, el acreedor de una deuda por concepto de gastos comunes podrá obtener una anotación preventiva de embargo sobre el derecho real de multipropiedad, derecho vacacional o alojamiento del titular delincuente, sin ningún otro requisito que la presentación en el Registro de la Propiedad de una certificación de embargo suscrita por un oficial autorizado de la entidad administradora bajo juramento ante un notario público o cualquier oficial autorizado para tomar juramentos, o bajo afirmación, sujeto a las penalidades de perjurio del Código Penal, estableciendo lo siguiente:

 

1.                  Nombre y seguro social del titular delincuente, si se refleja dicha información de los libros de la entidad administradora (aunque no se afectará la validez de la certificación de embargo si omite el número de seguro social o contiene un número de seguro social incorrecto).

 

 

2.                  a.         De tratarse de un alojamiento individual, los particulares descritos en la Sección 12-113 (1)(b) de este Artículo XII relativas al alojamiento de que se trate y, además, la participación que le corresponde a dicho alojamiento individual en las facilidades.

 

b.         De tratarse de un derecho de multipropiedad o derecho vacacional, los particulares descritos en la Sección 12-113 (1)(b) de este Artículo XII relativos al alojamiento que es objeto del derecho de multipropiedad o derecho vacacional, la participación que le corresponde a dicho derecho en la facilidades, así como una identificación completa y precisa del derecho de multipropiedad o derecho vacacional objeto de la anotación preventiva de embargo, según el mismo fue identificado en la escritura de dedicación.

 

3.                  Los datos de inscripción del derecho sobre el cual deberá recaer la anotación preventiva.

 

4.                  El importe total de los gastos comunes adeudados.

 

5.                  Que dicho importe es líquido y exigible en su totalidad.

 

6.                  Un resumen de los pasos tomados para requerir su pago, y que a pesar de ello, dicho importe no ha sido pagado.

 

Una vez presentada la certificación de embargo en el Registro de la Propiedad, ésta será suficiente notificación del embargo, luego de lo cual se podrá iniciar el procedimiento de ejecución extrajudicial del Artículo XIII de esta Ley.  Inmediatamente después del recibo de la certificación de embargo, el Registrador a cargo de la Sección del Registro de la Propiedad en que sea presentada deberá inscribirla y devolverla en sesenta (60) días al acreedor, haciendo constar que la misma ha sido inscrita, en cuyo caso cobrará derechos según establecidos en la Ley Núm. 198 del 8 de agosto del 1979, según enmendada, mejor conocida como “Ley Hipotecaria de Puerto Rico.”

 

De presentarse certificación de venta del derecho real embargado, la anotación preventiva quedará sin efecto, pudiendo ésta cancelarse en la forma dispuesta en los Artículos 132 y 141 de la Ley Núm. 198 del 8 de agosto del 1979, según enmendada.

 

…”

 

Artículo 5.-Se reenumera el Artículo XIII como Artículo XIV y se crea un nuevo Artículo XIII a la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que se lea como sigue:

 

“ARTÍCULO XIII

 

PROCEDIMIENTO EXTRAJUDICIAL DE

 

EJECUCIÓN Y VENTA.

 

Sección 13-101.-Procedimiento de Ejecución. 

 

El Acreedor Hipotecario o la entidad administradora (en adelante denominado el “acreedor”) podrán ejecutar el gravamen constituido o mediante un procedimiento de subasta pública ante un Notario Público, quien fungirá como subastador independiente, nombrado por el Acreedor Hipotecario, que cumpla con los términos y condiciones de esta Ley o mediante un procedimiento ante un Tribunal con competencia en Puerto Rico, según aquí se dispone.

 

Sección 13-102.-Incumplimiento y Notificación.

 

(1)        Si el deudor o el titular (en adelante denominado el “deudor”) de dicho derecho real sobre el derecho de multipropiedad o club vacacional incumple con su obligación de pago bajo la Sección 12-132 del Artículo XII, o el documento de hipoteca sobre el derecho real de multipropiedad o club vacacional, el acreedor le notificará al deudor, por correo certificado, con acuse de recibo, un requerimiento de pago, suscrito bajo juramento ante notario público, el cual se ajustará a lo siguiente:

 

(a)                Se dirigirá al deudor y, de ser una persona distinta, también al titular que surja de los libros de la entidad administradora.

 

(b)               Contendrá el monto total de la deuda.

 

(c)                Incluirá un apercibimiento en letras conspicuas de que si dentro del término de treinta (30) días a partir de la fecha del recibo por correo de dicho requerimiento de pago, el mismo no ha sido subsanado se iniciará el procedimiento extrajudicial de ejecución y venta en pública subasta del alojamiento o del derecho real de multipropiedad o vacacional gravado por dicha deuda.

 

(2)        Transcurrido el término de treinta (30) días, el acreedor podrá obtener una anotación preventiva de embargo sobre el alojamiento o el derecho real de multipropiedad o vacacional del deudor, sin ningún otro requisito que la presentación en el Registro de la Propiedad de una certificación de embargo suscrita por un oficial autorizado de la entidad administradora bajo juramento ante un notario público exponiendo lo siguiente:

 

(a)                Nombre y seguro social del deudor y del titular actual, de ser persona distinta, según se refleja dicha información de los libros de la entidad administradora (aunque no se afectará la validez de la certificación de embargo si omite el número de seguro social o contiene un número de seguro social incorrecto).

 

(b)               Los particulares descritos en la Sección 12-113 (1)(b) del Artículo XII.

 

(c)                Los datos de inscripción del derecho sobre el cual deberá recaer la anotación preventiva.

 

(d)               El importe total adeudado.

 

(e)                Que dicho importe es líquido y exigible en su totalidad.

 

(f)                 Los pasos tomados para requerir su pago, y que a pesar de ello, dicho importe no ha sido pagado.

 

Una vez presentada la certificación de embargo en el Registro de la Propiedad, ésta será notificada al deudor y al titular actual, de ser persona distinta, por correo certificado con acuse de recibo y la misma constituirá suficiente notificación del embargo, luego de lo cual se podrá iniciar el procedimiento para su ejecución aquí dispuesto. 

 

(3)        Se enviará también copia de dicha certificación de embargo, por correo certificado con acuse de recibo, a los acreedores de gravámenes inferiores conocidos y a los titulares de otros derechos reales de rango inferior al que se ejecuta cuya identidad surja del Registro de la Propiedad, que son aquellos que hayan adquirido un derecho de crédito asegurado o un derecho real con posterioridad al derecho bajo ejecución y que sean considerados inferiores en rango.

 

(4)        Inmediatamente después del recibo de la certificación de embargo, el Registrador a cargo de la sección del Registro de la Propiedad en que sea presentada deberá inscribirla y devolverla en sesenta (60) días al acreedor, haciendo constar que la misma ha sido inscrita, en cuyo caso cobrará derechos según establecidos en la Ley Núm. 198 del 8 de agosto del 1979, según enmendada,  mejor conocida como “Ley Hipotecaria de Puerto Rico”.

 

(5)        De presentarse luego certificación de venta del derecho embargado, la anotación preventiva quedará sin efecto, pudiendo ésta cancelarse en la forma dispuesta en los Artículos 132 y 141 de la Ley Núm. 198 de 8 de agosto de 1979, según enmendada,  conocida como “Ley Hipotecaria de Puerto Rico”, mediante el pago de derechos como documento notarial marginal sin cuantía.

 

(6)        El alojamiento o el derecho real de multipropiedad o club vacacional del deudor podrá ser vendido en pública subasta para satisfacer el monto de la deuda luego de transcurridos treinta (30) días contados a partir del recibo por el deudor de copia de la certificación de embargo.  De no recibirse el acuse de recibo del Servicio Postal de los Estados Unidos, acreditando la entrega de la certificación de embargo a las personas mencionadas en los incisos (2) y (3) de esta Sección 13-102, el acreedor sólo podrá ejecutar su gravamen mediante el procedimiento judicial establecido en esta Ley.

 

Sección 13-103.-Oposición a la notificación de incumplimiento e intención de vender.

 

(1)               Luego de recibida la notificación especificada en el inciso (1) de la anterior Sección 13-102, el deudor o el titular actual, de ser persona distinta, podrá oponerse al requerimiento de pago dentro del término de treinta (30) días contados a partir de dicho recibo mediante notificación al acreedor por correo certificado, con acuse de recibo, junto con la cual incluirá la evidencia que establezca el pago de la cantidad reclamada o que ésta es menor a la reclamada.  En dicho caso el acreedor tendrá un término de diez (10) días para evaluar la evidencia de pago sometida.

 

(2)               En caso de que el acreedor y deudor no logren un acuerdo sobre la existencia de la deuda o sobre el importe adeudado, el procedimiento de ejecución será tramitado mediante procedimiento ordinario ante un Tribunal con competencia en Puerto Rico.

(3)               De no recibirse oposición al requerimiento de pago dentro del término aquí previsto, el acreedor podrá vender el derecho gravado mediante el procedimiento dispuesto en las secciones siguientes.

 

Sección 13-104.-Anuncio de Venta.

 

Previo a efectuar la subasta pública extrajudicial conforme a este Artículo, el acreedor publicará un anuncio de subasta pública en un periódico de circulación general en Puerto Rico una vez a la semana por dos (2) semanas consecutivas previo a la fecha de la venta.  La última publicación debe ocurrir al menos cinco (5) días antes de la venta.  El anuncio de subasta expresará:

 

(1)               El nombre, dirección física y postal del acreedor.

 

(2)               Que todos los documentos correspondientes al procedimiento de ejecución estarán de manifiesto en las oficinas del acreedor y en las oficinas de la entidad administradora.

 

(3)               Que se entenderá que todo licitador en la subasta pública extrajudicial acepta como bastante la titulación a ser adjudicada y que las cargas y gravámenes anteriores y los preferentes, si los hubiere, al crédito del acreedor ejecutante continuarán subsistentes, entendiéndose que el rematante los acepta y queda subrogado en la responsabilidad de los mismos, sin destinarse a su extinción el precio del remate, debiéndose especificar el montante de cada carga anterior o preferente, el nombre o nombres de sus titulares y fecha o fechas de vencimiento, según figuren en el Registro de la Propiedad.

 

(4)               La descripción del derecho objeto de la venta.

 

(5)               El precio mínimo del remate y los restantes detalles complementarios sobre la subasta pública extrajudicial.

 

(6)               El día, hora y sitio en que se efectuará la subasta pública extrajudicial.

 

El anuncio de venta servirá también para hacer saber la venta a los acreedores que tengan inscritos o anotados sus títulos sobre el derecho a venderse con posterioridad a la inscripción del crédito del ejecutante, o acreedores de cargas o derechos reales que los hubiesen pospuesto al gravamen del actor y a los dueños, poseedores, tenedores o interesados en títulos transmisibles por endoso o al portador garantizados hipotecariamente con posterioridad al crédito del actor, y con los cuales no hubiese tenido efecto la notificación de la certificación de embargo, expresándose en el texto del anuncio de venta todos los nombres de estos interesados, si resultan del Registro de la Propiedad, de los archivos del acreedor y de la entidad administradora, para que puedan concurrir a la subasta pública extrajudicial si les conviniere, la cual podrá ser pospuesta sin más aviso según se dispone en la Sección 13-106 (4) o satisfacer antes del remate el importe del crédito, junto con los intereses y los gastos incurridos hasta ese momento por el acreedor ejecutante, quedando entonces subrogados en los  derechos de dicho acreedor ejecutante.

 

Sección 13-105.-Venta Extrajudicial.

 

(1)        La venta extrajudicial en pública subasta del alojamiento, derecho real de multipropiedad o club vacacional deberá ser en el municipio en el cual dicho alojamiento, derecho real de multipropiedad o club vacacional está localizado, en la fecha, hora y lugar designados en el anuncio de venta de la Sección 13-104.

 

(2)        Cualquier persona, incluyendo el acreedor, podrá licitar en la venta.

 

(3)        El comprador en la venta extrajudicial deberá hacer su pago en cheque oficial bancario o dinero en efectivo el día de la venta por el precio en que se vendió en la venta extrajudicial.  El acreedor hipotecario o del gravamen objeto de ejecución podrá licitar el importe de su crédito en lugar de pagar en cheque oficial bancario o dinero en efectivo, y en caso de que se adjudique el derecho subastado, el crédito quedará extinguido.

 

(4)        Los fondos devengados de la venta extrajudicial se destinaran en primer lugar al pago de los gastos de la subasta, luego al pago de la deuda reclamada por el acreedor con sus intereses, recargos  y gastos legales y por último, al pago de los gravámenes inferiores.  Aquellos gravámenes con prioridad sobre el gravamen ejecutado no serán menoscabados por la subasta y el licitador que adquiera el derecho en cuestión asumirá la responsabilidad para la satisfacción de estos gravámenes.

 

Sección 13-106.-Procedimiento de Subasta Pública Extrajudicial ante Notario Público.

 

(1)               La subasta pública extrajudicial se efectuará por un Notario Público seleccionado por el acreedor para fungir como subastador independiente, ante otro Notario Público requerido por el primero para que presencie y acredite los pormenores de dicha subasta bajo su fe notarial.  Ninguno de los dos (2) notarios públicos podrán haber intervenido en la preparación de los documentos constitutivos del crédito objeto de dicha subasta. Los honorarios notariales serán pagaderos al notario que otorgue la Escritura de Transmisión de Derecho en base al monto del derecho a ser ejecutado, según dispone la Ley Notarial y su reglamento.

 

(2)               Previo al comienzo de la subasta pública extrajudicial, el acreedor entregará al notario público, lo siguiente:

 

(a)                Copia fiel y exacta de los documentos constitutivos del crédito del actor.

 

(b)               Copia fiel y exacta del requerimiento al deudor, con el correspondiente acuse de recibo.

 

(c)                Copia fiel y exacta de la certificación de embargo y evidencia de su presentación el Registro de la Propiedad, así como los correspondientes acuses de recibo por parte del deudor, el titular actual, de ser persona distinta y de los acreedores inferiores, si algunos, según surjan del Registro de la Propiedad.

 

(d)               Copia fiel y exacta del anuncio de venta.

 

(e)                El documento original bajo juramento emitido por el oficial del periódico en el que fue publicado el anuncio de venta, acreditando su publicación en la forma dispuesta por esta Ley.

 

El acreedor certificará al Notario Público que los documentos relacionados en los anteriores incisos (a) al (d) son copias fieles y exactas de sus originales.  El Notario Público, hará constar esto en la escritura que, conforme más adelante se dispone, otorgará de dicha venta y consignará que examinó los mismos y determinó que cumplían con los requisitos de esta Sección.

 

(3)        La venta pública extrajudicial se llevará a cabo de la siguiente manera:

 

(a)        El alojamiento, derecho real de multipropiedad o club vacacional embargado se venderá en pública subasta, por el tipo mínimo consignado en el anuncio de venta.

 

(b)        Si antes de la celebración de la venta extrajudicial un acreedor hipotecario o cualquier otra persona que tenga un gravamen sobre la propiedad pagara la deuda garantizada con el crédito, objeto de la venta en pública subasta, el dinero pagado por éste se acumulará a su crédito y podrá recobrarlo al mismo tipo de interés que devenga su crédito.

 

(c)        Si el derecho ejecutado  no fuera adjudicado a favor de tercera persona, el acreedor podrá adjudicarse el derecho de multipropiedad o club vacacional por el importe del tipo mínimo.  Si el importe de dicho tipo mínimo resulta insuficiente para cubrir la totalidad de la cantidad adeudada al acreedor, más costas y penalidades, entonces dicho acreedor podrá instar acción ordinaria ante un Tribunal competente en Puerto Rico para cobrar el balance pendiente de pago, pudiendo obtener orden para embargar bienes muebles o inmuebles del deudor, sin prestación de fianza.

 

(d)               Si el derecho ejecutado fuera adjudicado a una tercera persona y la cantidad obtenida en la subasta fuera insuficiente para cubrir el importe total del crédito del acreedor, recargos y gastos, dicho acreedor podrá instar acción ordinaria ante un Tribunal competente en Puerto Rico para cobrar el balance pendiente de pago, pudiendo obtener orden para embargar bienes muebles o inmuebles del deudor, sin prestación de fianza.

 

(e)                La persona a quien se adjudique el alojamiento, derecho real de multipropiedad o club vacacional en la venta pública extrajudicial, lo adquirirá tal y como está y no tendrá derecho a acción de saneamiento contra el acreedor, el Notario Público o el subastador independiente, incluyendo, sin limitarse a ello, las garantías de título y contra defectos ocultos dispuestas por el Código Civil de Puerto Rico.

 

(f)                 En caso de adjudicación del alojamiento, derecho de multipropiedad o club vacacional a una tercera (3ra.) persona, el acreedor, luego de satisfacer el importe de su crédito, distribuirá a los acreedores inferiores, de haberlos, en orden de su rango registral una cantidad igual al importe de su crédito y si quedare algún exceso, éste se entregará al deudor o al titular, de ser persona distinta.

 

(4)        El acreedor ejecutante podrá suspender y continuar la venta de día en día, si juzgase necesario hacerlo y, por fuerza mayor o caso fortuito, la podrá prorrogar por un período que no excederá de treinta (30) días, de cuya prórroga dará aviso a los comparecientes a la subasta en forma verbal.   El Notario Público quedará también requerido para comparecer al acto de la continuación de la subasta y de no estar disponible para ello levantará un Acta ese mismo día acreditando lo presenciado ese día, incluyendo la verificación de los documentos relacionados en el inciso (2) de esta Sección, las razones para la suspensión de la subasta y otros pormenores que entienda necesario acreditar. Este Acta formará parte de la Escritura de Transmisión de Derecho.

 

(5)        Concluida la subasta, el Notario Público otorgará una Escritura de Transmisión de Derecho incluyendo:

 

(a)                Nombre y seguro social del acreedor ejecutante.

 

(b)               Nombre, dirección y seguro social del subastador independiente.

 

(c)                La descripción registral y datos de inscripción del alojamiento, derecho real de multipropiedad o club vacacional ejecutado.

 

(d)               Los nombres de todas las personas comparecientes el día de la subasta y el día de la adjudicación final, de ser distinto.

 

(e)                La verificación de los documentos relacionados en el inciso (2) de esta Sección.

 

(f)                 El nombre del licitador agraciado, su número de seguro social y dirección postal.

 

(g)                El importe de la venta.

 

(h)                La adjudicación en venta del alojamiento, derecho real de multipropiedad o club vacacional al mejor postor, quien pagará al acreedor ejecutante el importe de la venta en efectivo o cheque oficial bancario, de lo cual el Notario dará fe.

 

(i)                  Que dicho importe satisfizo la deuda reclamada o, de no ser así, que el importe del crédito no fue satisfecho.

 

(j)                 Una aseveración bajo su fe notarial de que el procedimiento presenciado se llevó a cabo, de conformidad con las disposiciones de esta Ley.

 

(6)        El acreedor ejecutante, el subastador independiente y el licitador victorioso suscribirán la Escritura de Transmisión de Derecho, y ésta constituirá el título de propiedad de dicho licitador sobre el derecho real de multipropiedad o club vacacional.

 

Sección 13-107.-Cancelación de gravamen y Transferencia de Titularidad luego de Venta.

 

(1)        Una venta extrajudicial que se efectúe conforme a este Artículo, excluye y pone fin a todos los intereses en el alojamiento, derecho real de multipropiedad o club vacacional de todas las personas y/o entidades con gravámenes inscritos en el Registro de Propiedad inferiores al ejecutado.

 

(2)        El día de la venta extrajudicial, al recibo del precio de venta se cancelará el gravamen del acreedor ejecutante mediante pago, a dicho acreedor del importe de la venta, si no es el agraciado con la subasta, lo podrá hacer el Notario dentro de la Escritura de Transmisión de Derecho o en escritura separada.

 

(3)        La Escritura de Transmisión de Derecho será inscribible en el Registro de la Propiedad, mediante el pago de derechos de inscripción correspondientes.

 

Sección 13-108.-Procedimiento Judicial Alterno.

                                                                                                                                   

(a)        En lugar del procedimiento de ejecución extrajudicial, el acreedor podrá solicitar a un Tribunal de jurisdicción competente que dicte sentencia y orden de ejecución y venta en pública subasta del alojamiento, derecho real de multipropiedad o club vacacional sujeto al gravamen en ejecución, conforme a las disposiciones aplicables de la Ley Hipotecaria y de las Reglas de Procedimiento Civil, incluyendo la Regla 60, irrespectivamente de la cuantía en controversia.  El procedimiento se iniciará mediante la presentación de una petición bajo juramento en la que se hará constar que:

 

(1)        El deudor o dueño del derecho no ha pagado el crédito por la deuda afecta al gravamen en ejecución;

 

(2)        la fecha en que fue notificado del embargo y se acompañará evidencia de envío y recibo de la carta certificada enviada, de conformidad con lo dispuesto en la Sección 13-102;

 

(3)        que ha transcurrido el término jurisdiccional para impugnar el embargo y el deudor o dueño del derecho no ha impugnado el procedimiento, según se dispone en la Sección 13-103;

 

(4)        que la reclamación se hace de buena fe y está basada en información obtenida del acreedor; y

 

(5)        el monto de la deuda reclamada.

 

Se deberá incluir copia fiel y exacta de los documentos relacionados en las partidas (a), (b) y (c) del inciso (2) de la Sección 13-106, lo cual se acreditará en la juramentación (o afirmación bajo pena de perjurio) de la solicitud.

 

(b)        El deudor o el titular del alojamiento, derecho real de multipropiedad o derecho vacacional, será notificado por el acreedor con copia de la solicitud en la forma establecida por las Reglas de Procedimiento Civil, luego de lo cual podrá notificar al acreedor una contestación a la petición, bajo juramento o afirmación bajo pena de perjurio, en la cual hará constar:

 

(1)        Que es el deudor o titular del alojamiento, derecho real de multipropiedad o club vacacional;

 

(2)        que no debe la suma reclamada, ya sea por haber pagado la misma o porque la cantidad adeudada es menor que la cantidad reclamada por el acreedor, en cuyos casos incluirá con su contestación la evidencia de pago;

 

(3)        todos los hechos o circunstancias que acrediten que el acreedor no tiene derecho a obtener sentencia, conforme al derecho aplicable.

 

Si el deudor asevera cualquiera de las defensas anteriores, la contestación incluirá copia exacta de la evidencia en apoyo de dichas aseveraciones.

 

(c)        El Tribunal examinará la petición y la contestación del deudor junto con la evidencia presentada por ambas partes en apoyo de sus posiciones y, a menos que surja una controversia real sustancial en cuanto a algún hecho material, o que el acreedor no tenga derecho a que se dicte sentencia a su favor como cuestión de derecho, dictará sentencia a favor del acreedor. 

 

(d)        Advenida final y firme dicha sentencia, el acreedor podrá solicitar al Tribunal que emita una orden, decretando la venta en subasta pública del derecho embargado, la cual se llevará a cabo conforme a las disposiciones de la Ley Hipotecaria y de las correspondientes Reglas de Procedimiento Civil. 

 

(e)        Si de los documentos ante la consideración del Tribunal surge que existe una controversia real sustancial en cuanto a algún hecho material o que el acreedor no tiene derecho a que se dicte sentencia como cuestión de derecho, se continuarán los procedimientos como un procedimiento civil ordinario.”

 

Artículo 6.-Se enmienda el texto en inglés de la Sección 5-102 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para añadir un nuevo inciso (16) y enumerar el existente inciso (16) como (17), para que se lea como sigue:

 

“5-102- ……

 

…..

 

(16) The procedures available for foreclosure and sale of a real property right over an accommodation when failure of payment occurs, as established under Section 12-132 of this Law. 

 

(17) Any other information required…

 

…..

 

Artículo 7.-Se enmienda el texto en inglés de la Sección 12-115 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que se lea como sigue:

 

“12-115.-Contents of deeds of transfer of timeshare or vacation club rights.

 

“The deed of transfer of each real property right over a timeshare or vacation club right in an individual accommodation shall state, in addition to the particulars described in SubSection 1(b) of Section 12-113 hereof with respect to the accommodation which is the object of the timeshare or vacation club right, the share pertaining to said timeshare or vacation club right in the facilities, as well as a full and accurate identification of the timeshare or vacation club right being conveyed, as the same was identified in the deed of dedication.  Furthermore, said deed of transfer shall contain a warning, in conspicuous type, stating that the timeshare or vacation club right being transferred (as applicable) pursuant to such deed not subject to the provisions of Act 104, or of  Act No. 249 of August 12, 2008, as amended, so the transferee thereof shall not be entitled to many of the protective measures afforded by the Horizontal Property Regime or the Condohotel Regime, to purchasers of apartments or units in condominiums or condohotels. If the land on which the structure containing the accommodation which is object of the timeshare or vacation club right to be transferred is held under a recorded lease, surface right or usufruct title, the deed conveying the real property right over the timeshare or vacation club right in question shall so state, specifying the date on which the recorded lease, surface right or usufruct expires.”

 

Artículo 8.-Se enmienda el texto en inglés de la Sección 12-116 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que se lea como sigue:

 

“Section 12-116.-Copies of plans to be appended to, or to accompany deeds; authentication. - The certified copy of the deed of dedication to the time share or vacation club regime and the certified copy of the deed of transfer giving rise to the first registration of a transfer of real property right over an individual accommodation or a timeshare or vacation club right therein, in the Registry of Property, shall have attached thereto full and exact copies of the plans of the property or the accommodation in question as the case may be, so that said plans may remain filed in the Registry of Property.  Said plans shall be certified, free of charge, by the Regulations and Permits Administrator or his successor and shall indicate graphically the particulars of the property or the accommodation, as the case may be. 

 

When it is desired to dedicate to the timeshare or vacation club regime an existing property whose plans are not on record in the files of the Regulations and Permits Administration or any agency that replaces the same in its functions, it shall be so established through a certificate issued to that effect by the Administrator of said governmental agency.  In such case, there shall be attached to the certified copy of the deed of dedication to the timeshare or vacation club regime and to the certified copy of the deed originating the first registration of a transfer of a real property right over an individual accommodation or a timeshare or vacation club right therein, a set of plans certified by an engineer or architect authorized to practice his profession in Puerto Rico, showing graphically and clearly the particulars of the property or accommodation, as the case may be.

 

…”

Artículo 9.-Se enmienda el texto en inglés de la Sección 12-132 de la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada,  para que lea como sigue:

 

“The obligation of each owner for his proportionate share in the common expenses shall constitute a lien on his corresponding accommodation, timeshare or vacation club right. Therefore, the voluntary acquirer of an accommodation timeshare or vacation club right shall be jointly liable with the conveyer thereof for the amounts owing by the latter, pursuant to Article XII of this Act, up to the time of the conveyance, without prejudice to the acquirer's right to recover from the other party, the amounts paid by him as such joint debtor.

 

 

The delinquent titleholder shall be required by certified mail, return receipt requested, sent to the last address of record with the administrative entity to pay all sums owed on account of its unpaid participation in common expenses.  Said demand will also contain a warning to the effect that if payment is not made within thirty (30) days, the creditor may proceed to collect the indebtedness by means of the non-judicial procedure established in Articles XIII of this Act.

 

Upon expiration of the aforesaid thirty (30) days, the creditor of a debt for unpaid common expenses may obtain a cautionary notice of attachment of the real property right over the time share or vacation club right or the individual accommodation of the delinquent titleholder, without any requirement other than the presentation in the Registry of Property of a certificate of attachment executed by an authorized officer of the managing entity under oath, either before a notary public setting forth the following:

 

 (1)       Name and social security of the delinquent titleholder, if such information is contained in the records of the managing entity (but the validity of the certificate of attachment will not be affected if the social security number is omitted or is incorrectly transcribed),

 

(2)        a.         In the case of an individual accommodation, the particulars described in Section 12-113(1)(b) of this Article XII, related to the specific accommodation, as well as the share pertaining to that accommodation in the facilities.

 

b.         In the case of a time share or vacation club right, the particulars described in Section 12-113 (1) (b) of this Article XII, related the accommodation which is the object of the timeshare or vacation club right, the share pertaining to said timeshare or vacation club right in the facilities, as well as a full and accurate identification of the timeshare or vacation club right being conveyed, as the same was identified in the deed of dedication.

 

(3)        The recording data of the right subject to the cautionary notice.

 

(4)        The total amount of unpaid common expenses.

 

(5)        That said amount is due and payable in full.

 

(6)        A summary of the steps previously taken to demand payment and that, in spite thereof, payment has not been made.

 

Once the certificate of attachment is filed in the Registry of Property, said certificate shall constitute sufficient notice of attachment after which the non-judicial foreclosure procedure of Articles XIII of this law may be commenced.   Immediately after the receipt of the certification of attachment, the Registrar in charge of the corresponding Section of the Registry of Property in which the certification was filed, shall record and return the same to the creditor within sixty (60) days, confirming that it has been recorded, in which case the fees to be collected by the Registry shall be as established in Act No. 198 of August 8, 1979, as amended, better known as “the Mortgage Law of Puerto Rico”.

 

If a certificate of sale of a real property right subject to attachment is filed, the cautionary notice will be of no further force and effect and shall be cancelable as provided in Articles 132 and 141 of the Mortgage Law of Puerto Rico, Act No. 198 of August 8, 1979, as amended.

 

Any titleholder who owes two or more installments of common expenses shall be temporarily deprived of the exercise of his right to vote at the meeting of owners of the regime until his debt is fully paid and the managing entity shall have the right to cut off any services being provided to the accommodation assigned to the delinquent titleholder during his occupancy period, subject to the managing entity’s prior compliance with the provisions contained in Section 6-104(5) of this act with respect to the denial of use  of accommodations and facilities of a timeshare plan or vacation club to third parties receiving use rights in the delinquent’s titleholder timeshare or vacation club period through an affiliated exchange program when such third parties are involved.”

 

Artículo 10.-Se renumera el texto en inglés del Artículo XIII como Artículo XIV y se crea un nuevo Artículo XIII a la Ley Núm. 252 de 26 de diciembre de 1995, según enmendada, para que se lea como sigue:

 

 “ARTICLE XIII

NON-JUDICIAL PROCEDURE FOR

FORECLOSURE AND SALE

 

Section 13-101.-Foreclosure Procedure

 

Mortgagee or the managing entity (hereinafter referred to as the “creditor”) may foreclose on the lien constituted either pursuant to public sale before Notary Public who act as an independent auctioneer named by the Mortgagee in compliance with the terms and conditions of this Act or, pursuant to a judicial proceeding available under law before a court of competent jurisdiction in Puerto Rico, as provided for herein.

 

Section 13-102.-Default and Notice

 

(1)               If the Mortgagor or the owner of the real property right over the timeshare or vacation club right (hereinafter referred to as the “debtor”) defaults on its payment obligation under Section 12-132 of this Act, as amended, or the mortgage contract encumbering the real property right over the timeshare or vacation club right, the creditor shall serve notice on the debtor, by certified mail, return receipt requested, of a demand for payment, executed under oath before a notary public, which shall conform to the following:

 

(a)        Addressed to the debtor or if a different person is the owner, to the titleholder as reflected in the records maintained by the managing entity.

 

            (b)        Total amount due and payable.

 

(c)        A warning in bold, conspicuous type that if within thirty (30) days from the date of receipt of said demand for payment, the default has not been cured, the non-judicial foreclosure and public sale proceedings of the individual accommodation, the real property timeshare or vacation club right encumbered by said obligation shall be commenced.

 

(2)        Upon expiration of the aforesaid term of thirty (30) days, the creditor may obtain a cautionary notice of attachment of the individual accommodation, the real property timeshare or vacation club right of the debtor, without any other requirement than the filing in the Registry of Property of a certificate of attachment executed by an authorized representative of creditor under oath before a notary public stating the following:

 

(a)        Name and social security number or employer identification number of the debtor, and of the current owner, if a different person, as reflected in the records of the managing entity (however, the validity of the certificate of attachment shall not be affected if the social security number or employer’s identification number is omitted or if an incorrect social security number or employer’s identification number is included).

 

(b)        The information described in Section 12-113(1)(b) of Article XII.

 

(c)        The recording data of the right that will be subject to the cautionary notice.

 

            (d)        The total amount of the indebtedness.

 

            (e)        That the said indebtedness if due and payable in full.

 

(f)         The steps taken to demand payment and that in spite thereof, the amount owed has not been paid.

 

After filing the certificate of attachment in the Registry of Property, a copy shall be delivered to the debtor and/or the current owner, if it is a different person, by certified mail, return receipt requested, and such copy shall be deemed sufficient notice of the attachment and thereafter the foreclosure proceedings provided for in this Act may commence.

 

(3)        A copy of the certification of attachment shall also be sent by certified mail, return receipt requested to all junior lien holders and to the holders of other real property rights inferior to the right being foreclosed, whose identity appears from the Registry of Property, which would be those who may have acquired a secured credit or real property right subsequent to the right being foreclosed and which are deemed inferior in rank.

 

(4)        Immediately after the filing of the certification of attachment, the Registrar in charge of the corresponding Section of the Registry of Property must record the same and return it within sixty (60) days to the creditor confirming the registration thereof, and in such case shall charge a fee as established in Act No. 198 of August 8, 1979, as amended, better know as the “Mortgage Act of Puerto Rico.”

 

(5)        Upon the subsequent filing of the certificate of sale of the attached right, the cautionary notice of attachment shall be of no further force and effect, and may be cancelled as provided in Articles 132 and 141 of the Mortgage Law of Puerto Rico, No. 198 of August 8, 1979, as amended, upon payment of a fee corresponding to a marginal notation with no value.

 

(6)        The individual accommodation, real property timeshare or vacation club right may be sold by public sale to satisfy the indebtedness and the date of said sale shall be no less than thirty (30) days after receipt by the debtor of the certified copy of the certificate of attachment.  If the return receipt attesting to the delivery of the certification of attachment to the persons mentioned in SubSections (2) and (3) of this Section 13-102 is not received from the United States Postal Service, the creditor may only foreclose on its lien pursuant to the judicial procedure established in this Act.

 

Section 13-103 .-Opposition to the notice of default and intention to sell.

 

(1)        Following the receipt of the notice and demand for payment specified in Section 13-102, the debtor or current titleholder, if a different person, may contest the demand for payment within thirty (30) days of receipt thereof, by means of a notice sent by certified mail, return receipt requested, to the creditor, including the evidence establishing that the amount claimed has been paid or that the amount owed is less than the amount claimed.  The creditor shall have ten (10) days from the receipt thereof to review the payment evidence submitted.

 

(2)        If the Mortgagor and the Mortgagee are unable to reach an agreement over the existence of the indebtedness or over the balance owed, foreclosure shall be carried out pursuant to ordinary proceedings before a court of competent jurisdiction in Puerto Rico.

 

(3)        If an opposition is not received within the term herein provided, the creditor may sell the timeshare or vacation club right pursuant to the procedure provided for in the following Sections.

 

                        Section 13-104 .-Notice of Sale

 

            Before conducting a non-judicial public sale pursuant to this Article, the creditor will publish a notice of public sale in a newspaper of general circulation in Puerto Rico, once a week, for two consecutive weeks prior to the date of the auction.  The last notice must be published at least five days prior to the date of the auction.  The notice of auction shall include the following:

 

(1)        The name, physical address and postal address of the creditor.

 

(2)        That all the documentation corresponding to the foreclosure proceedings are available at the offices of the creditor and at the offices of the managing entity. 

 

(3)        That bidders at the non-judicial public sale agree to accept that the title to be conveyed pursuant thereto, and all preferential liens and encumbrances senior to the creditor’s lien, if any, will continue to encumber the timeshare or vacation club right and, the successful bidder at the non-judicial public sale accepts and agrees to be bound by the same and to assume all liabilities with respect thereto, and that none of the proceeds received from the non-judicial public sale will be used to pay off any such senior liens.  The notice shall specify the amount of each senior lien or preferential lien or encumbrance and the name or names of the holders thereof and the date or dates when such obligations become due based on the records of the Registry of Property.

 

(4)        The description of the right subject of the non-judicial public sale.

 

(5)        The minimum sale price and other relative details regarding the non-judicial public sale.

 

(6)        The date, time and place when the non-judicial public sale will be held.

 

            The notice of non-judicial public sale shall also serve to announce the auction to creditors who have recorded or noted the rights over the property right to be sold junior to the credit being foreclosed or to holders of encumbrances or rights who may have subordinated them to the credit of the foreclosing creditor, and to owners, possessors, or holders of, or parties having an interest in instruments conveyable by endorsement, or to the bearer, which are secured by a mortgage junior to the creditor’s lien and on which the personal notification of the certificate of attachment would have no effect, stating in the text of the notice the names of all these interested parties, if they appear in the Registry of Property, the records of the creditor and of the managing entity so that they may attend the non-judicial public sale, if they so desire, which may be postponed without further notice, as provided in Section 13-106 (4) or before the non-judicial public sale is held, payoff the indebtedness, together with  interests, and costs incurred by the creditor prior to the sale, whereupon such person will be subrogated in the rights of the creditor.

 

Section 13-105.-Non-Judicial Public Sale

 

(1)               The non-judicial public sale of the individual accommodation, the real property timeshare or vacation club right shall be held in the municipality where the timeshare or vacation club right is located on the date, time and place designated in the public sale announcement pursuant to Section 13-104.

 

(2)               Any person, including the creditor, may bid at the non-judicial public sale.

 

(3)               The purchaser at the non-judicial public sale shall make payment by official bank check or cash on the same day of the sale in the amount for which the right was sold at the non-judicial public sale.  The creditor or holder of the lien in question may bid its credit in lieu of an official bank check or cash, and should it be awarded the bid, the credit in question shall be extinguished.

 

(4)               The proceeds of the non-judicial public sale shall be applied first, to the payment the costs and expenses of the public sale, second, to the payment of the indebtedness in question, interest and penalties accrued thereon and legal fees and finally, to the payment of junior liens.  All liens that are senior to the foreclosed lien will not be impaired by the non-judicial public sale and the purchaser of the right in question will assume responsibility for the payment thereof.

 

Section 13-106.-Non- Judicial Public Sale Proceedings before Notary Public.

 

(1)               The non-judicial public sale shall be held before a notary public selected by the creditor to act as an independent auctioneer, before another notary public required by the former to witness and attest to the details of said public sale under his notarial certification. Neither of the two (2) notary publics may have intervened in the preparation of the documents whereby the credit under foreclosure was created. The notary fees will be paid to the notary public that grants the Deed of Transfer of Rights based on the value of the real property right to be executed, as established under the Puerto Rico Notary Act.

 

(2)               Prior to the commencement of the non-judicial public sale, the creditor shall furnish the following documents to the notary public:

 

(a)        True and exact copies of the documentation constituting the credit.

 

(b)        True and exact copy of the demand for payment delivered to the Mortgagor, with the corresponding evidence of return receipt.

 

(c)        True and exact copy of the certification of attachment and evidence of its filing in the Registry of Property, as well as the corresponding return receipts from debtor, the current title holder, if a different person, and from the junior lien holders, if any, as they may appear in the Registry of Property.

 

(d)        True and exact copy of the notice of sale.

 

(e)        Original sworn statement document executed by the representative of the newspaper in which the notice of sale was published, certifying the publication thereof as provided by this Act.

 

The creditor shall certify to the notary public that the documents specified in the foregoing items (a) through (d), are true and exact copies of their originals.  The notary public shall enumerate all of the foregoing documents in the Deed of Transfer of Rights (“Escritura de Transmisión de Derecho”), as is provided hereinafter and shall certify that the same were reviewed and found to comply with the requirements of this Section.

 

(3)               The non-judicial public sale shall be carried out in the following manner:

 

(a)        The individual accommodation, real property timeshare or vacation club right shall be sold by public auction, for the minimum bid price stated in the notice of public sale.

 

(b)        If a Mortgagee or other person who holds a lien or encumbrance upon the property should pay the all amounts claimed by the creditor before the non-judicial public sale, the money paid by such person shall be accrued to his/her credit and may be recovered at the same interest his/her credit earns.

 

(c)        If no bids are received at the non-judicial public sale, the creditor may take title to the right subject thereto for an amount equal to the minimum bid.  If the amount of said minimum bid is insufficient to cover the full amount owed to the creditor, with penalties and costs, then said creditor may commence a collection action before a court of competent jurisdiction in Puerto Rico in order to collect the deficiency due and in such a proceeding may obtain an order to attach real and personal property of the debtor without bond.

 

(d)        If the right sold in the non-judicial public sale is sold to a third person and the amount for the bid price is insufficient to pay the full amount owed to the creditor, with penalties and costs, then said creditor may commence a collection action before a court of competent jurisdiction in Puerto Rico in order to collect the deficiency due and in such a proceeding may obtain an order to attach real and personal property of the debtor without bond.

 

(e)        The person acquiring title to the individual accommodation, real property timeshare or vacation club right at a non-judicial public sale shall acquire title as is, where is and without any warranty by the creditor, the notary public or auctioneer, including, without limitation, the warranties of title and against latent defects provided by the Civil Code of Puerto Rico.

 

(f)         If the real property timeshare or vacation club right in question is sold to a third person, the creditor, after satisfaction of the amount of its credit, shall distribute the remaining proceeds to the junior lien holders, if any, according to rank as per the Registry of Property, equal to the outstanding balance of its credit, and if there are any proceeds left, they shall be delivered to the debtor or titleholder, if a different person.

 

(4)               The foreclosing creditor may suspend and continue the public sale on a day-to-day basis if he/she so deems necessary, and subject to force majeur, may suspend the public sale for a period not to exceed thirty (30) days by means of verbal notice to the persons attending the public sale.  The notary public shall be required to attend the continuance of any public sale and, if not available, the notary public shall execute a notarial deed describing the proceedings of the day, including the verification of documents described in Sub-paragraph (2) of this Section and the basis for the suspension of the public sale and any other details.  The notarial deed will be part of the Deed of Transfer of Rights (“Escritura de Transmisión de Derecho”).

 

(5)               Upon conclusion of the non-judicial public sale, the notary public will prepare a Deed of Transfer of Rights (“Escritura de Transmisión de Derecho”) describing the events which the notary witnessed, including the following:

 

(a)        Name and social security number or employer’s identification number of the foreclosing creditor.

 

(b)        Name, address, social security or employer’s identification number of public independent auctioneer.

 

(c)        The Registry of Property description and recording data of the individual accommodation, real property timeshare or vacation club right subject of the public sale.

 

(d)        The names of all the persons who attended the public sale and the day it actually took place, if such date is different.

 

(e)        The verification of the documents described in sub-paragraph (2) of this Section.

 

(f)         The name of the winning bidder, his social security number or employer’s identification number and postal address.

 

            (g)        The amount of the sale.

 

(h)        The awarding of title to the individual accommodation, real property timeshare or vacation club right subject of the non-judicial public sale to the highest bidder who shall pay to the foreclosing creditor the amount of the bid in cash or official bank check, the delivery of which shall be certified by the notary.

 

(i)         That said amount satisfied the indebtedness in question or, if insufficient to satisfy the same, that the amount thereof was not fully satisfied.

 

(j)         A statement attesting to the fact that the public sale was carried out in accordance with the provisions of this Act.

 

(6)               The foreclosing creditor, the independent auctioneer and the winning bidder will sign the a Deed of Transfer of Rights (“Escritura de Transmisión de Derecho”) and said document shall be evidence of the successful bidder’s title to the real property timeshare or vacation club right.

 

Section 13-107.-Cancellation of liens and transfer of title after public sale.

 

(1)               A non-judicial public sale carried out in accordance with this Article excludes and extinguishes all interests in the individual accommodation, real property timeshare or vacation club right of all persons and/or entities holding recorded liens in the Registry of Property junior to the lien foreclosed upon.

 

(2)               On the day of the public sale, upon receipt of the bid amount, the lien of the foreclosing Mortgagor shall be deemed cancelled by virtue of the payment to said creditor of the proceeds of the public sale, if it is not the winning bidder, which cancellation shall be done in the same deed of sale or in a separate deed. 

 

(3)               The Deed of Transfer of Rights (“Escritura de Transmisión de Derecho”) shall be recordable in the Registry of Property upon payment of the corresponding filing fees and recording fees.

 

Section 13-108.-Alternate Judicial Procedure.

 

(a)        In lieu of the non-judicial foreclosure proceeding, the foreclosing creditor may file a petition before a court of competent jurisdiction in Puerto Rico, requesting the entry of judgment and an order of execution and public sale of the individual accommodation, real property timeshare or vacation club right subject to the lien being foreclosed, in accordance with the applicable provisions of the Mortgage Law and the Rules of Civil Procedure of Puerto Rico, including Rule 60, irrespective of the amount in controversy.  The process will be initiated by filing a petition under oath or affirmation, under penalty of perjury stating that:

 

(1)               the debtor or titleholder of the timeshare or vacation club right, if different, has not paid the indebtedness secured by the lien; 

 

(2)               the date of notification of the certificate of attachment together with evidence of mailing and receipt of the certified letter sent pursuant to Section 13-102;

 

(3)               the term to contest the attachment has lapsed and the debtor or owner of the timeshare or vacation club right has not contested the procedure as provided in Section 13-103; and

 

(4)                the claim is made in good faith and based on the mortgagee’s or creditor’s records; and

 

(5)               the  amount of the unpaid debt.

 

The petition shall include true and correct copies of the documents described in items (a), (b) and (c) of sub-paragraph (2), Section 13-106, which must be certified under oath or affirmation in the petition.

 

(b)        The debtor or titleholder of the individual accommodation, real property timeshare or vacation club right shall be notified by the creditor with a copy of the petition in the manner provided by the Rules of Civil Procedure, after which, said debtor may serve on the creditor a response, which shall likewise be under oath or affirmation, under penalty of perjury, and which must state:

 

(1)               that it is the debtor or owner of the individual accommodation, real property timeshare or vacation club right;

 

(2)               that the amount claimed is not owed, either because of payment or because the amount owed is less than the amount claimed by the creditor, in which cases the  evidence of payment must be attached to the response;

 

(3)               any facts or circumstances to establish that creditor is not entitled to judgment under applicable law.

 

If the debtor pleads any of the aforementioned defenses, the response shall include true and exact copy of the evidence supporting the defenses.

 

(c)        The court shall examine the petition and the response together with the evidence submitted by the parties in support of their respective positions and, unless a genuine issue as to a material fact is evident there from, or if the creditor is not otherwise entitled to judgment as a matter of applicable law, the court shall enter judgment for the creditor.

 

(d)        Upon the judgment becoming final and unappealable, the creditor may move the court for an order decreeing the public sale of the right attached, which shall be carried out as provided in the Mortgage Law of Puerto Rico and the corresponding Rules of Civil Procedure of Puerto Rico.

 

(e)        If from the documents before the Court it appears that that a genuine issue as to a material fact does exist or that the creditor is not entitled to judgment as a matter of applicable law, the matter will continue as any regular adversary proceeding.”

 

Artículo 11.-Disposiciones Misceláneas. Si alguna disposición de esta Ley o su aplicación subsiguiente a cualquier persona o circunstancia se declarare inválida, su invalidez no afectará las otras disposiciones de los correspondientes Capítulos. Las disposiciones de esta Ley son consideradas divisibles e independientes.

 

Artículo 12.-Esta Ley comenzará a regir inmediatamente después de su aprobación.
